Terms of Use

1. Definitions

• “Customer Data” means any data, content, or information submitted to or processed through the Site by or on behalf of you.
• “Content” means all software, code, documentation, text, graphics, trademarks, logos, and materials made available through the Site.
• “User” or “you” means the individual or legal entity accessing or using the Site.
• “Confidential Information” means non-public information disclosed by Edge DC relating to the Site, including technical, operational, security, or commercial information.

2. Eligibility and Authority

You must be at least eighteen (18) years old. If you access or use the Site on behalf of a company or other legal entity, you represent that you have full authority to bind that entity to these Terms.

3. Permitted Use and Restrictions

You may use the Site solely for lawful business purposes and in accordance with these Terms.

You must not:

• Use the Site in violation of any applicable law or regulation
• Attempt to gain unauthorized access to systems, networks, or data
• Interfere with or disrupt the availability, integrity, or security of the Site
• Reverse engineer, decompile, or attempt to extract source code, except as expressly permitted by law
• Conduct penetration testing, vulnerability scanning, or security testing without our prior written consent
• Introduce malware, malicious code, or harmful processes

We may suspend or terminate access to the Site if we reasonably believe these restrictions have been violated.

4. Accounts and Security

If account registration is required:

• You are responsible for maintaining the confidentiality of your credentials
• You are responsible for all activity under your account
• You must promptly notify us of any unauthorized access or security breach

We are not responsible for losses caused by unauthorized use of your account.

5. Intellectual Property Rights

The Site and all Content are owned by or licensed to Edge DC and are protected by intellectual property laws.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for its intended business purpose.

No rights are granted except as expressly stated.

6. Customer Data

As between the parties, you retain ownership of Customer Data.

You grant Edge DC a limited right to process Customer Data solely to provide, maintain, secure, and improve the Site, in accordance with our Privacy Policy and any applicable data processing agreement (“DPA”).

You represent that you have all necessary rights to provide Customer Data to us.

7. Confidentiality

You agree to protect Edge DC’s Confidential Information using at least reasonable care and not to disclose it to third parties except as required by law or with our written consent.

This obligation survives termination of these Terms.

8. Third-Party Services

The Site may integrate with or link to third-party services. Edge DC does not control and is not responsible for third-party content, products, or services.

Your use of third-party services is subject to their terms and conditions.

9. Privacy

Your use of the Site is subject to our Privacy Policy, which is incorporated into these Terms by reference. If applicable, a separate DPA will govern personal data processing.

10. Export Controls and Sanctions

You may not use the Site in violation of U.S. export control laws, sanctions regulations, or applicable international trade laws. You represent that you are not located in, under the control of, or a national of any prohibited jurisdiction.

11. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE DC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Site will be uninterrupted, error-free, or secure.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDGE DC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Edge DC and its affiliates from any claims, damages, losses, and expenses arising out of:

• Your use of the Site
• Your violation of these Terms
• Your violation of applicable laws or third-party rights

14. Termination

We may suspend or terminate access to the Site at any time for violation of these Terms or to protect the security or integrity of the Site.

Termination of these Terms does not affect any separate commercial agreement between you and Edge DC unless expressly stated therein.

15. Force Majeure

Edge DC shall not be liable for failure or delay caused by events beyond its reasonable control, including natural disasters, power failures, network outages, labor disputes, or governmental actions.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflicts of law principles.

Any legal action shall be brought exclusively in the state or federal courts located in New York, New York, and the parties consent to such jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Site after updates constitutes acceptance of the revised Terms.
